The Firm has extensive experience in a wide range of corporate transactions relating to Latin America, including joint ventures, acquisitions, privatizations, project finance, and the structuring of foreign investment and marketing activities throughout the region. Examples of this practice include the following:

  • Representation of Verizon Communications, the largest shareholder of CANTV, the Venezuelan telecommunications provider, in connection with the hostile tender offer for CANTV launched by AES Corporation.
  • Representation of a national oil company in connection with the structuring of international public bidding processes for the construction of refineries, terminals, pipelines and other facilities and several of the largest project finance transactions ever in Latin America, including a build, own and operate transaction for the world’s largest nitrogen production facility and a multibillion dollar nationwide refinery upgrade program.
  • Representation of a national electricity company in connection with infrastructure projects having an aggregate value in excess of US$6 billion, including independent power projects, build, lease and transfer transactions involving power plants, transmission lines and substations, build, own and operate transactions involving the construction and operation of facilities for the transportation of natural gas, and other forms of project finance transactions.
  • Representation of a leading telecommunications company in connection with the telephone privatization process throughout Latin America, including the purchase of a majority of shares of the Puerto Rico Telephone Company from the Puerto Rico Telephone Authority in a transaction valued at U.S.$1.875 billion and the successful US$1.9 billion bid for CANTV in Venezuela, as well as in connection with various telecommunications joint ventures in the region.
  • Representation of a national oil company in connection with the partial privatization of a helicopter fleet and finished lubricants business through international public bidding processes.
  • Representation of an international consortium in connection with the airport privatization processes in Mexico and Peru, including the acquisition through an international public bidding process of a fifty-year concession to operate nine airports in Mexico.
  • Representation of the operator and exclusive provider of freight services over the Northeast Rail Lines, representing 20% of all trackage in Mexico, privatized in 1997 following an international public bidding process
  • Representation of national oil, gas and petrochemical companies in connection with a broad range of commercial contracts, including long-term contracts for the supply of crude oil, natural gas and petroleum and petrochemical products, transportation contracts, acquisitions and joint ventures.
  • Representation of an international trading company in connection with the operation and commercialization of petroleum products with PetroNic, the state-owned oil company of Nicaragua, the privatization process for CVRD, the Brazilian national mining company, and the acquisition of a majority interest in Oleaginosa Moreno Hermanos S.A.C.I.F.I. y A. and related companies of Grupo Moreno, a large processor and seller of agricultural oils and meal in Argentina.
  • Representation of an investment management company in connection with the acquisition of 100% of the capital stock of its investment advisors, Quadrum S.A. in Argentina, Latinvest Corporation S.A. in Uruguay and Fortum S.A. in Mexico.
  • Representation of an accounting firm throughout Latin America in connection with establishing local offices, termination of affiliated offices, professional responsibility issues, litigation review, and regulation of personnel and client data files.
  • Representation of a leading Mexican steel manufacturer in connection with a joint venture with Coutinho, Caro & Co. International Trading GmbH of Germany for distribution of steel products in the European Union.
  • Representation of a shipping company in connection with the formation of a joint venture company with Fresh Del Monte Produce N.V. for the exclusive worldwide transportation of Del Monte’s produce.
  • Representation of an electronics manufacturing service company in connection with its acquisition of Micro Eletronica Ltda., the largest manufacturer of printed circuit boards in Brazil.
  • Representation of a leading food products company in connection with the acquisition by escisión of assets of Empresas Gamesa, the Mexican subsidiary of Pepsico, and the acquisition of Lance, S.A. de C.V., a Mexican manufacturer of cookies and pasta.
  • Representation of a Spanish banking institution in connection with the acquisition of Probursa in Mexico, matters relating to Bolivia and the acquisition of a majority interest in a bank and branches of a Canadian bank in Puerto Rico.
  • Representation of a national oil company in connection with agreements for the financing of offshore drilling rigs in Brazil.
  • Representation of a British construction company in connection with establishing joint ventures in Mexico to develop a variety of manufacturing and tourism projects.
  • Representation of a French manufacturing company in connection with consortium arrangements for bidding on an independent power project in Honduras.
  • Representation of a pharmaceutical company in connection with health licensing of pharmaceuticals and distribution agreements in Mexico.
  • Representation of a food products company in connection with asset acquisition, joint venture and ancillary agreements for the manufacture and sale of food and cosmetic products in Mexico.
  • Representation of a Brazilian paper company in connection with long-term wood pulp supply contracts.
  • Representation of an entertainment industry group in connection with a joint venture in Mexico with Tower Records.
  • Representation of a food services company in connection with a license agreement and a development and technical assistance agreement with Controladora VIPS, S.A. de C.V. in Mexico.
  • Representation of a distributor in connection with trademark license agreements and U.S. supply and distribution agreements with Tequila Cuervo.

  • Representation of a Latin American conglomerate in connection with the acquisition of rights to license the Howard Johnson name in Latin America and sublicense hotels throughout the region.
  • Representation of a broadcasting company in connection with the legal and regulatory structure of the first 24-hour Spanish-language network in 20 countries in Latin America.
  • Representation of a food products company in connection with distribution operations in various Latin American countries.
  • Representation of a Japanese manufacturing company in connection with distribution agreements in various Latin American countries.
  • Representation of a major insurance company in connection with the preparation of directors’ and officers’ liability policies in Mexico, Chile and Colombia.
