The Firm has a broad-based structured finance practice with expertise in asset securitizations, project financings and other non-traditional financing transactions. The Firm has particular expertise in cross-border and domestic structured finance transactions.
Representative structured finance transactions include the following:
- Representation of Petróleos Mexicanos (Pemex) in connection with the project financing for the Tula and Salamanca refineries totaling in excess of US$330 million, with BNP Paribas as arranger and credit enhancement provided by the Export-Import Bank of the United States.
- Representation of Pemex in connection with the project financing for the upgrade of its Cadereyta and Madero refineries totaling in excess of US$3.1 billion, with Deutsche Bank as arranger in each instance and credit enhancements provided by various export credit agencies.
- Representation of CTI Compañía de Teléfonos del Interior S.A. of Argentina in connection with a US$500 million project financing consisting of four credit facilities, with Citibank N.A. as arranger, including syndicated loans with political risk guarantees issued by the Overseas Private Investment Corporation (OPIC) and the Export-Import Bank of the United States, publicly issued certificates of participation in an OPIC comprehensive guaranteed loan and a direct loan from the Export Finance and Insurance Corporation of Australia.
- Representation of Comisión Federal de Electricidad in connection with the project financing of the Merida III power plant consisting of a US$104 million loan provided by the International Finance Corporation (IFC), of which US$74 million was provided by a commercial bank syndicate through a “B” loan and the remainder was provided by the IFC as an “A” loan and a US$69 million loan provided by the Export-Import Bank of Japan through its Overseas Investment Credit program.
- Representation of the Petroleum Company of Trinidad and Tobago (Petrotrin) in a US$150 million securitization of receivables generated through a 12-year forward sale of refined product, with Deutsche Bank as arranger and credit enhancement provided by MBIA Insurance Corporation.
- Representation of Grupo TMM, S.A. in the establishment of its US$60 million receivables securitization program and two issuances under the program for a total of US$55 million.
- Representation of Bancomer, S.A. in a US$175 million securitization of credit card receivables, with Citicorp Investment Bank Limited as arranger.
- Representation of Pemex in a two-tranche US$390 million securitization of receivables generated from petroleum products sales, with Deutsche Bank as arranger.
- Representation of P.M.I. Comercio Internacional, S.A. de C.V. in a US$366 million securitization of future crude oil export receivables through a Cayman trust, with Citibank as arranger.
- Representation of P.M.I. Comercio Internacional, S.A. de C.V. in a US$275 million securitization of export receivables through a commercial paper conduit, with UBS as arranger.
- Representation of a major non-U.S. hotel owner and operator in connection with a US$200 million accounts receivable securitization financing.
- Representation of a KoSa B.V. in a revolving US$90 million securitization of its U.S. receivables through a commercial paper conduit.
- Representation of Dover Corporation in connection with a US$50 million accounts receivable securitization financing facility, with Citibank, N.A. as arranger.
- Representation of an international commodities trading company in connection with a US$650 million global securitization of receivables and inventory through a commercial paper conduit.
- Representation of the sponsor in connection with a US$1.2 billion receivables securitization transaction consisting of US$500 million of asset-backed commercial paper and US$700 million secured floating rate notes.
- Representation of a U.S. aluminum company in connection with a US$50 million accounts receivable securitization financing facility, with UBS as arranger.
- Representation of Banco Nacional de Comercio Exterior, S.N.C. in two securitized import financing facilities totaling in excess of US$230 million, with Merrill Lynch & Co. and with UBS as arrangers and, in each case, with credit enhancement provided by the Export-Import Bank of the United States.
- Representation of Banco Nacional de México, S.A. in several securitized import financing facilities aggregating in excess of US$200 million, with Bank of America and ABN Amro Bank as arrangers and credit enhancement provided by the Export-Import Bank of the United States.
- Representation of Banco Nacional de México, S.A. in a US$12.25 million financing for sale-leaseback of aircraft for Aerovias de México, S.A. de C.V.
- Representation of BNP Paribas as administrative agent and lead lender in connection with a US$110 million financing for a Mexican construction company secured by payments under a supply contract.
- Representation of BNP Paribas as administrative agent and lead lender in connection with a US$52.5 million financing for a Mexican fibre products manufacturer secured by assignment of a supply agreement and receivables thereunder.
- Representation of Pemex in connection with a financial lease in respect of US$200 million of offshore oil platforms.
