Curtis Advises World Courier Group, Inc. in its $520 Million Sale to AmerisourceBergen


New York, March 20, 2012 – Curtis, Mallet-Prevost, Colt & Mosle LLP represented World Courier Group, Inc., the premier global specialty-transportation and logistics provider for the biopharmaceutical industry, and its stockholders in its recent agreement to be acquired by AmerisourceBergen Corporation, one of the world's largest pharmaceutical services companies, for $520 million in cash.  

The transaction, which is subject to certain regulatory reviews and other customary closing conditions, is expected to close by June 30, 2012.  Following the closing of the transaction, World Courier will become a new operating segment within AmerisourceBergen.

Curtis advised privately-held World Courier and its stockholders in all aspects of the sale process, including the structuring of the sale process, the negotiation of the transaction documentation and the implementation of tax planning and optimization strategies. 

The sale was particularly complex due to the large number of countries (52) in which World Courier has subsidiaries and/or offices.  The company's expansive worldwide operations resulted in the need to perform a regulatory and corporate analysis in many jurisdictions, as well as the need to coordinate due diligence efforts to obtain detailed information from each of these jurisdictions. 

Curtis lawyers were able to leverage their experience in cross-border M&A transactions and the resources of Curtis' global office network in order to address in a timely and efficient manner the myriad of regulatory and corporate requirements in the various jurisdictions, as well as to assist World Courier in analyzing and aggregating all the diligence requests and information received.
