ATTORNEY PROFILE
A highly experienced M&A and corporate attorney, Andrew Seiden offers a rare breadth of U.S. corporate experience. He has negotiated M&A transactions and related financings across a broad spectrum of industries as well as joint ventures, strategic alliances and commercial transactions on behalf of operating companies, private equity funds, and high net worth individuals. Mr. Seiden has served as a general business advisor to numerous clients in manufacturing and distribution of consumer and industrial products and in advertising and media. Mr. Seiden is also adept in negotiating workouts, having represented the Estates of Lehman Brothers Holdings Inc. and its subsidiaries in the workout and disposition of numerous US$500 million+ financial instruments secured by distressed securitized assets and in the settlement or transfer of derivatives positions.
His recent experience includes representing a pharmaceutical developer in the sale of a majority interest in its product development pipeline and formation of a joint venture entity for product development and production; representing financial institutions in valuation disputes regarding synthetic CDOs and in the sale of subordinate bonds; advising a venture-backed Indian technology company on its entrance into the U.S. market through a website purchase from a U.S. corporate and its acquisition of a technology platform developer; advising an industrial manufacturer on the sale of its assets; representing a vitamin distributor on the sale of its European operations; representing specialty chemical companies in product line acquisitions and sales; and advising advertising networks on strategic acquisitions.
