Outsourcing and Offshoring 2009: Meeting New Challenges

On November 3, 2009, Steven J. Reisman presented at the "Outsourcing and Offshoring 2009: Meeting New Challenges" seminar hosted by the Practising Law Institute in New York City. The program examined effective negotiation strategies for outsourcing transactions, with a particular focus on potential bankruptcy issues that could arise in the current economy. Given the global financial crisis and the increase in both out of court restructurings and Chapter 11 cases, this presentation was particularly relevant for both financially distressed companies and parties who engage in business with them. In addition to providing an overview of bankruptcy fundamentals, including the implications of the automatic stay, a debtor's rights with respect to executory contracts and the treatment of intellectual property licenses under the Bankruptcy Code, Reisman also addressed the risks associated with dealing with a financially distressed counterparty and ways to protect a party's rights in the event the counterparty files for bankruptcy or engages in an out of court restructuring.
