Advice on Equity Investment Activities
Funds of all types rely on our experience in advising funds of all types, including private equity and LBO funds. We have advised on the structuring of numerous hedge funds pursuing various business objectives and advising on all aspects relating to the tax, corporate and regulatory regime affecting the hedge fund and the deployment of its capital.
Curtis advises international banks and investment groups on the planning, structuring and forming of complex global multi-strategy, multi-platform funds. This includes UCITS funds, in particular representing sponsors of UCITS funds on aspects of the European roll-out of UCITS products, notably in France and Germany.
In leveraged and fund finance, we assist in the drafting and negotiating of complex facilities among leading investment banks and both U.S. and non-U.S. investment funds, including hedge funds, fund of funds and feeder funds.
Legal Counsel for All Stages of the Private Equity Fund Life Cycle
The Curtis private equity group advises on all forms of liquidity events, including auctions, strategic sales, IPOs, refinancings/leveraged recapitalizations and liquidations. We have considerable experience in developing the transaction/capital structure to maximize deal protection and tax efficiency; negotiating all deal documents, including acquisition and financing agreements; performing in-depth due diligence; and drafting and negotiating employment, non-compete, stock option and employee benefit agreements, as well as stock option plans.
The team continues to provide expert post-investment counsel, including on tuck-in or bolt-on acquisitions/product line acquisitions; spin-offs; follow-on debt financings; and general ongoing corporate or other legal matters.
