Corporate Finance Law Practice

Curtis finance lawyers represent borrowers and issuers, lenders and investors in transactions designed to meet a wide range of capital requirements and liquidity needs.

Commercial and Strategic Advice on Financial Transactions

Curtis is highly involved in the commercial and strategic aspects of our clients’ businesses and economic sectors, providing our attorneys with important perspective on the commercial context, economic drivers, risks, and opportunities associated with each finance transaction. We advise our clients from inception to the ultimate conclusion of each transaction – from structuring, negotiation and documentation, through post-closing covenant compliance, liability management, and dispute resolution.

Broad spectrum of Financing Structures

Curtis finance attorneys’ legal and technical expertise extends across the spectrum of traditional and innovative financing structures and risk mitigation techniques employed in today’s global financing markets. These include syndicated and bilateral term and revolving credit facilities; debt and equity capital market transactions; secured and unsecured facilities; senior, mezzanine and second-lien loans, and related intercreditor arrangements; equipment/facility lease financings; receivables and other asset securitizations; trade and letter of credit facilities; acquisition finance, asset finance, project finance, and export credit agency and development finance institution supports; as well as related interest rate swaps, currency hedges and other derivatives.

Integrated Representation

The finance group works closely with the mergers and acquisitions group on acquisition financing and with our restructuring and insolvency group on debt restructuring and workouts. The contribution of our tax attorneys is key to the structuring and negotiation of financing terms to address potential U.S. and international tax consequences.

Multijurisdictional Capabilities

In addition to finance transactions under New York and English law in the New York and London markets, we handle debt and equity transactions under the French, German and Italian law, as well as the laws of Argentina, Mexico, the UAE and Oman. As our finance engagements often involve cross-border elements, we are particularly adept at accommodating local law norms and requirements in cases where our clients raise capital in foreign financial markets.

Islamic Finance

In addition, the group includes one of the international legal community's top practitioners in the field of Islamic finance and investment. The group is capable of undertaking the full range of Shariàh-compliant financial transactions, including sukuk (Islamic securitizations), ijara wa Iqtina (financial leases) and murabaha (installment sales).
