Curtis Advises ALIVE Ventures from Structuring Through Final Close of US$55 Million Impact Venture Capital Fund

ALIVE Ventures, the largest impact venture capital fund manager across the Andean region, recently reached the final close of its second venture capital fund ALIVE Early Growth Fund II (ALEG II). The transaction marks a significant milestone for ALIVE and further underscores Curtis’s strength in advising emerging fund sponsors in Latin American across the full lifecycle of sophisticated cross-border fund formations.

ALEG II is a US$55 million fund focused on backing early-growth-stage companies with validated products and demonstrated market traction that address the needs of underserved populations across Latin America. Following the final close, ALIVE’s leading investment platform now has more than US$80 million in assets under management.

Curtis advised ALIVE throughout all stages of the fund’s development, from initial structuring and launch through fundraising and final close. The representation included core fund formation work, negotiation of principal fund documents and support in negotiations with a broad cohort of global institutional investors, including Proparco, FMO, Impact Fund Denmark, the Dutch Good Growth Fund, MacArthur Foundation and Acumen, as well as leading regional investors like Bancoldex, Cofide, Sonen, Fundación Bancolombia and Fundación WWB Colombia.

This matter further solidifies Curtis’s role as a strategic ally to emerging investment fund managers across Latin America and adds to the longstanding experience of the firm’s International Funds group in advising sponsors, managers and institutional investors on complex domestic and cross-border investment fund structures. With lawyers across New York, Bogota and the major business capitals of the world working in close coordination, Curtis is well positioned to support Latin American fund sponsors seeking counsel that is both internationally sophisticated and regionally connected.

The Curtis team included partners Shaun Reader (New York) and Elisa Botero (New York/Bogota), supported by associates Andrija Durovic (New York) and Agustin Patiño (Bogota).
