Curtis, Mallet-Prevost, Colt & Mosle LLP is pleased to announce that it has advised Al Ain Farms for Livestock Production PJSC, one of the UAE’s longest-established and most prominent food producers, on two major strategic acquisitions.
In a transaction that closed in April 2025, Curtis advised Al Ain Farms on its acquisition of Marmum Dairy Farms and United Sales Partners from Yas Holding, as well as Al Ajban Poultry Farms and Al Ajban Feed Mill from Ghitha Holding. This transformative deal consolidated several key players in the market, significantly enhancing Al Ain Farms’ integrated production and distribution capabilities across the UAE. The transaction was structured on a share swap basis, with consideration adjustments made using both completions accounts and locked box mechanics, underscoring the intricate financial and legal aspects of the deal.
The Curtis team also advised Al Ain Farms on its subsequent acquisition of Al Jazira Poultry Farms, owner of the widely recognized “Golden Eggs” brand. This transaction closed in May 2025 and further cements Al Ain Farms’ leadership in the UAE’s food and poultry sector.
Both transactions were led by Partner Philippe Habib (Corporate, Dubai), supported by Associate Krystle Koh (Corporate, Dubai). The acquisition of Al Jazira Poultry Farms was further supported by Partner Olga Beloded and Associate Andrija Durovic (Tax, New York), reflecting the firm’s cross-border transactional strengths and capabilities.
