New York, March 30, 2012 — Curtis, Mallet-Prevost, Colt & Mosle LLP advised Glencore International plc, one of the world's leading integrated producers and marketers of commodities, on U.S. legal matters in its definitive agreement to acquire Viterra Inc., one of the world's leading global agri-businesses and food ingredients companies.
The transaction values Viterra's equity at approximately C$6.1 billion (about US$6.1 billion) on a fully diluted basis. The deal is expected to close some time between May and July this year. Viterra is Canada's largest grain handler.
Curtis advised Switzerland-based Glencore in connection with the U.S. securities, antitrust and other regulatory aspects of the transaction and assisted with U.S. corporate and other diligence.
