Tobias Koch Publishes Article on Private Equity and Venture Capital Funds

Tobias M. Koch, Counsel in the Asset Management & Investment Funds practice in our Frankfurt office, has recently published an article entitled ‘Key person provisions in private equity- and venture capital funds – Overview of practical structuring alternatives, economic implications, and aspects of negotiation,’ in one of the latest editions (no. 31|2025) of Betriebs-Berater.

Key person provisions are among the most important and most heavily negotiated provisions in fund documentations, especially in the current challenging market environment.

Using various examples, the article illustrates the wide range of possible structures of key person provisions typically used in practice. The article also points out how key person provisions are linked to other provisions of the fund documentation, such as provisions regarding management fee and carried interest.
