Randy DeSmyter has broad experience with international corporate transactions, focusing primarily on investment management and fund formation.
Mr. DeSmyter regularly advises investment management clients on all aspects of private equity funds, hedge funds, feeder funds, and funds-of-funds.
His clients include fund sponsors and investment managers in connection with the structuring, formation, and administration of funds, as well as high-net-worth and institutional investors in connection with the evaluation and negotiation of alternative investments.
Mr. DeSmyter’s practice also focuses on regulatory issues related to investment management. He has worked extensively with both start-up managers and established institutions and has guided clients through the registration processes and ongoing compliance requirements for both investment advisers and broker/dealers. Mr. DeSmyter has extensive knowledge of the Securities Act, Exchange Act, Investment Company Act, and Investment Advisers Act and has worked with the securities laws and private placement regimes of numerous jurisdictions abroad.
Mr. DeSmyter also counsels clients on a variety of general corporate and commercial matters.
Mr. DeSmyter has also worked with international clients on oil and gas projects, including the development and drafting of regulations, research and analysis of market structures and participants, the development and negotiation of public bid tenders for oil and gas reserves, and the formation and operation of state-owned entities for oil and gas operations.
