Karl Behrouz is Counsel in the firm’s corporate group and a member of the investment management and private equity teams.
Mr. Behrouz advises private investment fund sponsors on the structuring, formation and ongoing compliance requirements of private investment funds across a range of strategies, including private equity, venture capital and private credit. He also advises institutional investors in connection with their fund investments.
He has experience assisting clients in the negotiation, documentation and closing of investments, including the negotiation of limited partnership agreements (and other fund operating agreements), investment management agreements, commitment agreements, side letters, co-investment arrangements and other fund documentation as well as advising on related financial services regulations and end-of-life fund matters.
In addition to his work as external counsel to private investment funds and fund managers, Mr. Behrouz also has in-house experience, having previously served as Senior Legal Counsel at Big Society Capital, the UK’s social impact investment wholesaler.
